CBRE’s UK legal team has an opportunity for an Assistant Company Secretary with Commercial Paralegal / Company Law background to join the team and provide support to the Company Secretary. This is a key role in supporting CBRE's UK business.

This is a great role if you have previous company secretarial administration experience or commercial paralegal experience.

  • Knowledge of company law is preferred.

  • Either a law degree, or CGI UK&I CSQS qualification or an affiliate of the CGI UK&I is preferred.

  • Experience working in a large organisation.

Key Responsibilities include:

  • Databases: Real-time maintenance and updating of Directors’ lists, corporate audit forms, corporate charts and hCue Entity Management Software. Ensuring that company secretarial documents, books and records are appropriately transferred and coordinated into a new document management system.

  • Company secretarial: File all documents with Companies House for multiple UK companies, including changes of directors, share transfers and confirmation statements; maintain corporate books for UK companies; liaise with managing agents responsible for various group holding companies.

  • Preparation of board minutes; attending meetings and minute-taking.

  • Annual Accounts/PoAs: Support the manager with the annual accounts sign-off process for the EMEA companies. Process requests for drafting and signing of PoAs/Proxies and resolutions.

  • Corporate: Support the manager with review, and manage the execution of legal documents for internal corporate restructuring, recapitalisation, issuing dividends etc. Under the manager’s instructions, work with external firms to incorporate/dissolve entities.

  • Contracts: Assist with reviewing, execution and tracking of any service or license or other agreements (other than client agreements).

  • Compliance: Assist with KYC requests from across the CBRE business.

  • Managing the content and layout of the Company Secretarial Teams, intranet or other sites.

  • Acting as Secretary to the Charitable Trustees of the CBRE UK Charitable Trust and providing administrative support for all Trust activities. Dealing with requests for supports, updating cashbook records, issuing donation cheques, monthly bank reconciliations, preparing for the scheduled meetings, taking minutes and dealing with the administration post-meetings.

  • Insurance - Updating and maintaining claims' files and ensuring that any claims received are passed on, reviewed and responded to by relevant team so that any deadlines are met.

  • Provide regular case updates as necessary, this will require coordination with relevant individuals from across the business. Maintaining accurate accounting and invoicing records on Legal Tracker. Assisting in correspondence with Global Risk Management team, Brokers, Underwriters, Lawyers and senior points of contact within CBRE.

  • General Insurances - Assisting with data gathering from the UK Business during renewal periods and preparing submissions to Brokers. Processing claim forms and liaising with Brokers and Insurers as required.

  • Coordinating receipt of post and ensuring letters and notifications sit with the business person, and any requests, for example, a request for information or payment are complied with accordingly.

  • Legal Tracker Database - Maintenance of matter records, including various updates, document postings, invoice processing and liaising with the UK Finance team as appropriate. Liaising with the law firms as necessary.

  • NDAs / Confidentiality Agreements - Undertaking legal reviews of NDAs and providing advice and comments to the UK business teams efficiently. Supporting the Company Secretary generally on confidentiality matters. Maintaining the register of all NDAs entered into.
